SECTION 15 - SALES AND SHIPPING

We will arrange for shipment of the products to you using a shipper of our choice. You will pay all shipping and handling charges unless otherwise specified on our Website and/or in the order confirmation. Title and risk of loss pass to you upon our transfer of the products to the carrier/delivery. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.

You are responsible for any and all taxes, duties, and fees that may be due in relation to your order. For a multiple product orders, we will attempt to ship all products contained in the order at the same time. Products that are unavailable at the time of shipping will be shipped as they become available. You will only be charged for products contained in a given shipment, plus any applicable shipping charges. You will only be charged for any applicable shipping at the rate quoted to you on your purchase receipt. The entirety of any applicable shipping charge may be applied to the first product(s) shipped on a multiple shipment order.

Your order will ship as it becomes available, and our the processing fulfillment team will make reasonable efforts to ship your order as quickly as possible. There may be times when a product you have ordered is out-of-stock, which will delay fulfilling your order. You will be informed of any products that you have ordered that are out-of-stock and unavailable for immediate shipment. We cannot guarantee when an order will arrive. Consider any shipping or transit time offered to you by us only as an estimate. We encourage you to order in a timely fashion to avoid delays caused by shipping or product availability.

We will endeavor to charge you for all applicable sales taxes; however, it is your responsibility as the customer to report any purchases of tangible personal property that has not been taxed by us and pay the sales or use tax on those purchases unless exempt under applicable law.

SECTION 16 - RETURNS
Except for any products designated on the Website as non-returnable or final sale, we will accept a return of the products for a refund of your purchase price, less the original shipping and handling costs (if applicable), provided such return is made within fourteen (14) calendar days of the delivery date with valid proof of purchase and provided such products are returned in their original condition. Following inspection and acceptance of your return, you will receive confirmation via email that a refund or merchandise credit has been issued.  All returns will incur a flat $25 return shipping and handling, restocking cost, which will be deducted from the amount to be refunded to you. 

To be eligible for a return, your item must be in the same condition that you received it, unworn or unused, with tags, and in its original packaging. You’ll also need the receipt or proof of purchase.

SECTION 22 – WAIVER BY CALIFORNIA RESIDENTS

SECTION 24 - BINDING ARBITRATION AGREEMENT FOR RESOLUTION OF DISPUTES

UNLESS OTHERWISE PROHIBITED BY LAW, YOU MUST PROVIDE NOTICE TO COMPANY, PURSUANT TO THE PROCEDURES SET FORTH IN THIS AGREEMENT, OF ANY CLAIM WITHIN ONE YEAR OF ITS ACCRUAL OR YOUR CLAIM SHALL BE WAIVED AND TIME-BARRED.

For purposes of the dispute resolution provisions in these Terms of Service, “ARSHIE” or “Company” shall include its parents, subsidiaries, affiliates, agents, directors, executives, employees, interns, predecessors in interest, successors and assigns.

Informal Negotiations: To expedite resolution and reduce the cost of any dispute, controversy or claim, past, present, or future, between you and Company, including without limitation any dispute or claim related to or arising out of this Agreement or any claim or dispute pertaining to Company (“Dispute”), you and Company will first attempt to negotiate any Dispute informally (the “Informal Negotiations”) before initiating any arbitration or court proceeding. Arbitration: If a Dispute is not resolved through Informal Negotiations, you and Company agree to resolve any and all Disputes (except those Disputes expressly excluded below) through final and binding arbitration ("Arbitration Agreement").The arbitration will be commenced and conducted before a single arbitrator under the Commercial Arbitration Rules (the "AAA Rules") of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website (www.adr.org). Your arbitration fees and your share of arbitrator compensation will be governed by the AAA Rules (and, where appropriate, limited by the AAA Consumer Rules). Payment of filing and other fees shall be governed by the AAA Rules. If the arbitrator finds that either the substance of a claim, counterclaim, or relief sought in connection with the arbitration was frivolous or was brought for harassment or an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), either party will have the right to recover its arbitration fees and expenses. In addressing its determination, the arbitrator may consider, among other things, whether a party previously offered full relief to the other party, including, but not limited to, a full refund of the sum paid for items purchased. In addition, the provisions of Federal Rule of Civil Procedure 68 shall apply and be enforced by the arbitrator. Each of us may incur attorneys’ fees during the arbitration. Each of us will bear our own attorneys’ fees, except in the following circumstances. If applicable law permits a prevailing party to recover attorneys’ fees, the prevailing party may seek fees as applicable law permits. The arbitrator will make a decision in writing. Additionally, the arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement. However, the preceding sentence shall not apply to the "Class Action Waiver" described below.

Notwithstanding the foregoing, either party may elect to have a Dispute heard in small claims court, which shall seek only individualized relief, so long as the action remains in that court and is not removed or appealed to a court of general jurisdiction. This election may be made at any time prior to the appointment of an arbitrator. Each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. Any claim that an applicable federal statute expressly states cannot be arbitrated is excluded from this Arbitration Agreement

This agreement evidences a transaction in interstate commerce, and thus the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1–16, and federal arbitration law apply and govern the interpretation and enforcement of the dispute resolution provisions in these Terms of Service. The dispute resolution provisions shall survive termination of the Terms of Service.

There is no judge or jury in arbitration, and court review of an arbitration award is limited.

Class Action Waiver: The parties agree that the arbitrator may award the same damages and relief (including declaratory or injunctive relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. The arbitrator may not award relief for or against anyone who is not a party to the proceeding or order Company to pay any monies to or take any actions with respect to persons other than you, unless Company explicitly consents in advance, after an arbitrator is selected, to permit the arbitrator to enter such an order.

To fullest extent permitted by applicable law, you and Company agree to bring any Dispute, whether in arbitration or court as permitted by these terms, ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS ACTION OR COLLECTIVE ACTION. There will be no right or authority for any Dispute to be brought, heard or arbitrated as a class or collective action ("Class Action Waiver"). Regardless of anything else in this Arbitration Agreement and/or the applicable AAA Rules or AAA Consumer Rules, the interpretation, applicability, enforceability or formation of the Class Action Waiver may only be determined by a court and not an arbitrator.

This class action and collective relief waiver is an essential part of this Arbitration Agreement and, if it is deemed invalid or unenforceable with respect to a particular claim or request for relief, neither you nor Company is entitled to arbitration of such claim or request for relief. Notwithstanding the foregoing, if after exhaustion of all appeals, any of these prohibitions on non-individualized relief; class, representative, and private attorney general claims; and consolidation is found to be unenforceable as to a particular claim or with respect to a particular request for relief (such as a request for injunctive relief), then the parties agree that such a claim or request for relief shall be decided by a court after all other claims and requests for relief are arbitrated.

Rules/Standards Governing Arbitration Proceeding: A party who wishes to arbitrate a Dispute covered by this Arbitration Agreement must initiate an arbitration proceeding no later than the expiration of the statute of limitations that applicable law prescribes for the claim asserted. The arbitrator shall apply the statute of limitations that would have applied if the Dispute had been brought in court. The arbitrator may award any remedy to which a party is entitled under applicable law, but remedies shall be limited to those that would be available to a party in their individual capacity, and no remedies that otherwise would be available to an individual under applicable law will be forfeited. The arbitrator is without authority to apply any different substantive law. The parties have the right to conduct adequate civil discovery and present witnesses and evidence as needed to present their cases and defenses, and any dispute in this regard shall be decided by the arbitrator. A court of competent jurisdiction shall have the authority to enter judgment upon the arbitrator's decision/award.

Location: The parties may choose to have the arbitration conducted by video conference technology such as zoom, or based on written submissions, or in person in the country where the parties live or at another mutually agreed location.  Any in-person hearing in the arbitration will be held in Los Angeles, California.  The arbitrator shall apply California law consistent with the FAA.  Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Authority of Arbitrator: The arbitrator will be a retired or former judge, selected in accordance with the AAA rules.  The arbitrator shall have exclusive authority to: (a) determine the scope and enforceability of this Arbitration Agreement and (b) resolve any dispute related to the interpretation, applicability, enforceability or formation of this Arbitration Agreement including, but not limited to, any assertion that all or any part of this Arbitration Agreement is void or voidable. The arbitration will decide the rights and liabilities, if any, of you and Company.  The arbitration proceeding will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum’s rules, and this Arbitration Agreement. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Company.

Waiver of Jury Trial: BOTH YOU AND COMPANY HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, except as provided herein. We are instead mutually electing that all disputes, claims, or requests for relief shall be resolved by arbitration under this Arbitration Agreement, except as specified herein. An arbitrator can award on an individual basis the same damages and relief as a court and must follow this Agreement as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.

Notwithstanding any provision in these Terms of Service to the contrary, if Company makes any future changes to these dispute resolution provisions of these Terms of Service (other than a change to the notice address), you may reject any such change by sending us written notice within 30 days of the change by email to info@arshie.com. This is not an opt-out of arbitration altogether. By rejecting any future change, you are agreeing that you will arbitrate any dispute between us in accordance with the language of these dispute resolution provisions.

If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial to the fullest extent permitted by law and we each irrevocably consent to the exclusive jurisdiction of the courts located in Los Angeles County, California.


Severability: You and Company agree that if any portion of this Section entitled "Binding Arbitration Agreement For Resolution of Disputes" is found illegal or unenforceable, that portion will be severed, and the remainder of this Section will be given full force and effect.

SECTION 25 - INVESTIGATIONS OF VIOLATIONS OF THESE TERMS
We may investigate any reported violation of these Terms of Service and take any action that we deem appropriate. Such action may include, but is not limited to, issuing warnings, removing posted content and/or reporting any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other third parties.
